Terms of Service

These Terms of Service (“Terms”) govern your access to and use of AgentSEO’s website, API, dashboard, hosted MCP endpoint, SDKs, and related services (collectively, the “Service”). By creating an account, generating an API key, using the Service, or otherwise agreeing to these Terms, you agree to be bound by them.

If you use the Service on behalf of a company or other organization, you represent that you have authority to bind that entity to these Terms, and “you” means both you and that entity.

1. Eligibility and Account Registration

You must be at least 18 years old and legally able to enter into a binding contract. You are responsible for maintaining accurate account information and for all activity under your account, workspace, and API keys. You must promptly notify us of any unauthorized access, credential compromise, or misuse.

2. API Keys, Workspaces, and Security

API keys are sensitive credentials. You must protect them, use them only for authorized purposes, and rotate or revoke them if you suspect compromise. You are responsible for configuring any domain restrictions, environment variables, webhook endpoints, and client or workspace settings you enable.
We may treat requests made with your credentials as authorized by you unless and until you notify us of a security issue and we have a reasonable opportunity to respond.

3. Acceptable Use

You agree not to misuse the Service. You must comply with applicable law and may not:

  • Bypass rate limits, quotas, billing controls, or security controls.
  • Use the Service for unlawful, fraudulent, deceptive, or abusive activity.
  • Interfere with the Service’s integrity, security, or availability.
  • Attempt to gain unauthorized access to accounts, data, systems, or networks.
  • Use the Service in a way that violates privacy, publicity, consumer-protection, export-control, sanctions, intellectual-property, or anti-spam laws.
  • Use the Service or its outputs to build or operate malware, credential theft, phishing, surveillance, or similar harmful systems.
  • Reverse engineer, decompile, or attempt to extract source code except where prohibited by law.
  • Use the Service or outputs in a way that infringes third-party rights or violates third-party platform terms that apply to your use case.

We may investigate suspected misuse and may suspend or restrict access where reasonably necessary to protect the Service, our users, or third parties.

4. Subscriptions, Billing, Credits, and Auto-Renewal

Some features require a paid subscription or usage-based credits. Fees, billing cycles, included usage, and any applicable overage or top-up mechanics are described on our pricing page, dashboard, or order form.
Unless otherwise stated, paid plans automatically renew at the end of each billing period until canceled. You may cancel renewal from your billing settings. Unless required by law or expressly stated otherwise, cancellations take effect at the end of the current paid term and fees are non-refundable.
You authorize us and our payment processor to charge applicable fees, taxes, and past-due amounts. We may suspend paid features for non-payment, failed charges, chargebacks, or material billing abuse.

5. API Usage, Limits, and Service Changes

We may set and enforce usage limits, rate limits, technical restrictions, feature gates, and plan-based entitlements to maintain reliability, security, and fair use. We may throttle, queue, reject, or suspend requests that threaten Service stability or violate these Terms.
We may modify, improve, rename, or discontinue features from time to time. Where practical, we will provide notice for material changes, but we do not guarantee backward compatibility for every experimental, preview, or beta feature.

6. Customer Data, Inputs, Outputs, and Instructions

As between you and AgentSEO, you retain ownership of your submitted content, prompts, keywords, URLs, domains, business data, webhook endpoints, and other customer inputs that you provide to the Service (“Customer Data”). You grant us a limited right to host, process, transmit, cache, transform, and otherwise use Customer Data as needed to provide, secure, maintain, improve, and support the Service and to comply with law.
You are responsible for ensuring that you have all rights, permissions, notices, and legal bases needed to submit Customer Data and instruct us to process it. You are also responsible for reviewing outputs and deciding how to use them. Search, ranking, AI, and provider outputs can change over time and may not always be complete, accurate, or suitable for your intended use.

7. Privacy and Data Processing

Our Privacy Policy explains how we collect and use personal information. If we process personal data on your behalf as a processor or service provider, our Data Processing Addendum also applies where relevant.

8. Third-Party Services and Providers

The Service depends on third-party providers for infrastructure, authentication, billing, analytics, monitoring, and some upstream data or SEO-processing functions. Your use of the Service may therefore depend in part on those third-party services. We are not responsible for third-party services, their uptime, or their separate terms and policies.

9. Intellectual Property and Feedback

AgentSEO and its licensors own the Service, including software, models, prompts, branding, website content, documentation, and all related intellectual-property rights. Except as expressly permitted in these Terms, no rights are granted to you other than a limited, revocable, non-exclusive, non-transferable right to use the Service during your authorized subscription or usage term.
If you provide feedback or suggestions, you grant AgentSEO a worldwide, perpetual, irrevocable, royalty-free right to use, modify, and incorporate that feedback without restriction or compensation.

10. Confidentiality

Each party may receive non-public confidential information from the other. The receiving party will use reasonable care to protect confidential information and will use it only as needed to exercise rights or perform obligations under these Terms. This does not apply to information that is or becomes public through no fault of the receiving party, was already lawfully known, is independently developed, or is lawfully obtained from a third party.

11. Suspension and Termination

You may stop using the Service at any time. We may suspend, limit, or terminate access immediately if necessary to prevent harm, address security risk, investigate suspected abuse, comply with legal obligations, enforce these Terms, or resolve non-payment.
Upon termination, your right to use the Service ends. We may delete or disable access to account data subject to legal, billing, security, and retention requirements. Provisions that by their nature should survive termination will survive, including those relating to payment, IP, disclaimers, confidentiality, liability limits, and disputes.

12. Beta, Preview, and Experimental Features

We may label certain features as alpha, beta, preview, early access, or experimental. Those features may have reduced support, changing behavior, or limited availability and may be modified or discontinued at any time. Unless we say otherwise, they are provided “as is” without additional commitments.

13. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” AGENTSEO DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
We do not warrant that the Service will be uninterrupted, secure, timely, or error-free, that third-party providers will remain available, or that results or outputs will always be accurate, complete, or suitable for your use case. You are responsible for validating outputs before relying on them.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AGENTSEO WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, GOODWILL, DATA, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, AGENTSEO’S AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO AGENTSEO FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY OR (B) ONE HUNDRED U.S. DOLLARS (US$100).

15. Indemnification

You agree to defend, indemnify, and hold harmless AgentSEO and its affiliates, officers, directors, employees, and agents from claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from or related to your use of the Service, Customer Data, outputs you distribute or rely on, or your violation of these Terms or applicable law.

16. Governing Law and Disputes

These Terms are governed by the laws applicable in the jurisdiction where AgentSEO is established, without regard to conflict-of-law rules. Unless applicable law requires otherwise, disputes arising out of or relating to these Terms or the Service will be resolved in the competent courts of that jurisdiction.

17. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will post the updated Terms with a revised “Last Updated” date and may provide additional notice where required by law. Your continued use of the Service after the effective date of updated Terms constitutes acceptance of the updated Terms.

18. General Terms

These Terms, together with any applicable order form, pricing terms, the Privacy Policy, and where applicable the Data Processing Addendum, form the entire agreement between you and AgentSEO with respect to the Service. If any provision is found unenforceable, the remaining provisions remain in effect. Our failure to enforce any provision is not a waiver.
